1.1 Unless expressly agreed otherwise in writing by Quality Control China, all services provided are subject to the following general service conditions, which override any alternative purchase terms.
1.2 Services conducted by Quality Control China on behalf of a client will be performed with techniques that ensure independence, impartiality, and objectivity. The final output of the service, a “report,” communicates the information requested by the client and will be provided via fax, written document, or online report.
1.3 Only the client may instruct Quality Control China regarding inspection scope or report delivery, unless otherwise authorized.
QC China in the capacity of an independent third party, supplies information in the form of ascertainment or recommendations for the special purpose of contributing to the prevention of the risks to which the beneficiaries of its services are exposed, and of helping them assure the quality of their products. QC China’s services (hereinafter called “services”) consist of work performed by QC China, including but not limited to:

3.1 Quality Control China reserves the right to accept or decline service requests at its discretion and bears no liability for refusing services or handling products that:
3.2 Quality Control China is committed to performing accepted services professionally and promptly, adhering to:
3.3 Quality Control China will carefully select and assign qualified personnel.
The client agrees to:
4.1 Ensure Quality Control China has necessary access to materials for service.
4.2 Provide all required information, samples, and documents no later than 48 hours before the service, except widely available documents like codes and standards.
4.3 Give timely and clear instructions to enable effective service.
4.4 Notify Quality Control China of service start or continuation dates and any critical dates related to the items being inspected.
4.5 Assist Quality Control China with relevant information on safety, working conditions, access, and equipment.
4.6 Note that any third-party documents received are for reference only and do not alter the agreed services or obligations.
Please include your T/T reference and QC China invoice number in the email subject line. Standard clients must pay the inspection or audit fee at least two days prior. For clients with a minimum of 20 inspections monthly, a monthly billing agreement may be available.
5.1 Canceling within 24 hours incurs a full fee.
5.2 If QC China is unable to complete a service due to external factors, the client covers related expenses and fees for services performed.
5.3 If inspection is canceled on-site due to incorrect information, full charges apply.
5.4 Clients canceling a paid inspection mid-process may receive a balance credit or refund, minus a 20% fee.
6.1 Limitation of Liability
6.1.1 QC China disclaims any role as an insurer or guarantor. Clients should seek insurance to cover any potential losses.
6.1.2 QC China’s report is issued based on the client’s instructions and information received, limited to the defined scope of services.
6.1.3 Advice is provided based on the client’s provided data, with no liability for errors due to incomplete information.
6.1.4 No liability for misinformation provided by third parties.
6.1.5 Liability is accepted only in cases of proven negligence.
6.2 Indemnification
6.2.1 Liability is capped at ten times the service fees, depending on whether approved samples are referenced.
6.2.2 For pre-shipment inspections, responsibility only covers inspected items when production is incomplete.
6.2.3 The client agrees to indemnify QC China against third-party claims exceeding this liability limit.
6.3 Notice of Claims
Claims must be filed within seven days of discovering the issue or within three months of service completion, directed to QC China’s headquarters in Guangzhou, China.
QC China reserves the right to suspend or terminate services if:
7.1 The client materially breaches any obligations within these terms or the terms of reference and fails to resolve the breach within ten days of notice. Material breaches include deliberate and willful non-compliance.
7.2 The client is insolvent, unable to pay debts, under a payment suspension, in financial restructuring, or undergoing liquidation or administration proceedings. This also applies if any analogous legal action occurs due to the client’s debt situation, including the appointment of receivers or administrators over its assets.
8.1 QC China, along with its subsidiaries and affiliates, as well as the client, agree to maintain the confidentiality of all information obtained from each other in connection with QC China’s services.
8.2 The report will document the findings of the service at the specific time and place it was conducted. It does not release sellers or suppliers from any legal or commercial obligations they have toward the client.
9.1 These terms and conditions are governed by and interpreted according to Chinese law, unless stated otherwise.
9.2 Any disputes or issues arising from the services shall be submitted to the non-exclusive jurisdiction of the courts in Guangzhou, China.
